Cordex Relationship Map Terms & Conditions

Acceptance

These Relationship Map Terms form a binding agreement between you and My IT and Apps (ABN 82 659 633 888). If you are purchasing on behalf of an organisation, you warrant you have authority to bind it, and "you" includes that organisation.

The product

Cordex Relationship Map is a software product delivered as a Microsoft Dataverse solution (a set of self-contained web resources, a PCF control, security roles and custom tables) that turns a Dataverse or Dynamics 365 record into an interactive map of its related records, people and organisation, with health, stakeholder, influence and optional AI features. Features and inclusions are those described on the Cordex Relationship Map product page and in the product documentation at the time of your purchase.

Licence grant

Cordex Relationship Map is licensed, not sold. Subject to payment of the applicable fees and ongoing compliance with these Relationship Map Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to import and use Cordex Relationship Map in Dataverse environments owned or controlled by you, for your own internal business purposes, within the tier and seat band you have purchased.

Tiers & entitlements

Cordex Relationship Map is offered in the following tiers. Each tier includes everything in the tier below it. The exact features, seat bands and prices are those published at checkout at the time of purchase and govern your licence:

You must not exceed the entitlements of your tier or seat band. If your usage grows beyond them, or you intend to make Cordex Relationship Map available to third parties, you must upgrade or enter the appropriate agreement before doing so.

Seat bands & trial

Licences are priced flat per organisation, per seat band, per month and billed annually; there is no per-user metering and no minimum user count - the first band is the floor. A seat is an enabled, interactive user holding a Cordex Relationship Map security role, directly or via teams; application users, integration users and disabled accounts do not count. Every subscription includes two non-production (sandbox or development) environments at no charge. Your seat band is enforced on the licence term's high-water mark: the highest number of enabled users holding a Cordex Relationship Map security role at any time during the term, against the exact licensed seat count. If the high-water mark exceeds your band, the maps lock until a key for the correct band is activated; activation unlocks them immediately and nothing configured is lost. Upgrades of tier or band are pro-rated for the days remaining on a key that keeps your existing renewal date; downgrades take effect at renewal. Prices are in USD and exclude applicable taxes.

A 30-day trial grants the full Tier 03 - AI Enablement entitlement. The trial is for evaluation in your own environment, may be limited to one trial per organisation, and expires automatically; on expiry the map shows an activation notice until a licence key is activated. Trials are provided without any warranty or support commitment beyond reasonable email assistance.

Purchase & checkout

Cordex Relationship Map licences are purchased through our secure checkout provider or by invoice. Prices are shown at checkout or on your quote; local currency may be displayed for convenience, with conversion handled by the checkout provider. Unless stated to be inclusive, prices are exclusive of GST and applicable taxes, which are added where required by law. Your order is accepted when we issue your licence key or confirmation.

Subscription & renewal

Each licence includes a term (typically 12 months) of updates and support. Unless you cancel before the renewal date, or unless stated otherwise at checkout or on your quote, licences renew for successive terms at the then-current price for your seat band, and you authorise us or our checkout provider to charge the renewal fee. You can disable automatic renewal at any time by contacting us or via your account. If a licence lapses, updates and support cease and the map reverts to its activation notice until a current licence is activated.

Refunds

Nothing here limits your rights under the Australian Consumer Law. Subject to those rights, because Cordex Relationship Map is delivered digitally and a free 30-day trial is available before purchase, we do not generally offer change-of-mind refunds once a licence key has been issued. If Cordex Relationship Map has a fault we cannot resolve within a reasonable time, contact us and we will work with you toward an appropriate remedy.

Licence keys & activation

Your licence key is confidential and issued for your organisation's use within your entitlements. It is activated from the version badge in the map and stored encrypted in the Cordex Relationship Map Licenses table in your environment. You are responsible for keeping it secure. Sharing, publishing or reselling keys, activating a key in an environment you do not control, or using keys beyond your entitlements is a breach of these Relationship Map Terms and may result in deactivation.

Use restrictions

• Do not copy, modify, reverse engineer, decompile or attempt to extract source code from the web resources, PCF control or solution components, except to the extent permitted by law.
• Do not remove or alter any proprietary notices, branding or licensing mechanisms, or the version badge.
• Do not circumvent licence limits, seat-band enforcement, access gates or security controls, or share licence keys.
• Do not use Cordex Relationship Map, or Cordex AI, to process data you are not entitled to process, to profile or measure individuals in breach of any law, workplace agreement or third-party right, or in breach of your AI provider's terms.
• Do not resell, rent, lease, sublicense, host, bundle or otherwise provide Cordex Relationship Map, or access to it, to or for any third party except under a separate written OEM/Reseller/Partner agreement with us.

Resale, OEM & redistribution

The Tier 01 - Foundation, Tier 02 - Intelligence and Tier 03 - AI Enablement tiers licence Cordex Relationship Map for the licensee's own use: that is, in Dataverse environments owned and operated by you and your affiliated entities under common control, to work your own organisation's data.

Regardless of your tier or seat band, you must not, without a separate written agreement with us:

• import, activate or operate Cordex Relationship Map in a third-party customer's or client's environment as a deliverable;
• host, offer or make Cordex Relationship Map available to third parties as part of a product, platform, portal or managed service;
• rebrand or distribute Cordex Relationship Map under your own or a client's brand; or
• redistribute, sublicense, resell, rent or lease Cordex Relationship Map, its solution files or its licence keys.

Partners building solutions for clients, consultancies delivering to customers and ISVs embedding Cordex Relationship Map require a Cordex Relationship Map OEM / Reseller / Partner agreement, which we price per end-customer, per-tenant or by revenue share. Contact cordex-rm@myitandapps.com.au to arrange one. Activations may be registered and audited to enforce this clause.

Requirements & third parties

Cordex Relationship Map requires a supported Microsoft Dataverse environment and valid Microsoft licensing for the users who access it (Dataverse, Dynamics 365 and, where relevant, Power Platform, Power Automate and Azure). Users must hold the Cordex Relationship Map security roles and their own Dataverse privileges; the map never shows a record, or performs an action, that the signed-in user could not perform natively. You are responsible for obtaining and maintaining those third-party products, subscriptions and configurations, and your use of them is governed by their own terms. We are not responsible for changes, deprecation, downtime or acts or omissions of Microsoft, AI providers or your own environments.

Cordex AI & AI providers

Cordex AI (Tier 03 - AI Enablement) sends information to an AI provider only when a user explicitly asks a question, requests a brief, or runs a sentiment assessment, and only under a provider account and API key that you supply and control (Claude by Anthropic, Azure OpenAI, or a key-free in-tenant flow using your Microsoft licensing). You are the customer of that provider; its charges, terms, data-handling commitments and regional availability apply to that use and are your responsibility. We do not operate, proxy or meter the AI provider and are not a party to your agreement with it.

Features that widen data egress - full system access, the sentiment trend, automatic assessment on map open, monthly refresh, and AI internal sentiment for staff and teams - are off by default and are enabled by your administrator. Before enabling them you are responsible for completing your own privacy and AI-compliance review, for informing and, where required, obtaining consent from the individuals concerned, and for any obligations arising from measuring the sentiment or engagement of your own staff. AI output is generated and may be inaccurate or incomplete; it is provided to assist a human decision, not replace one, and you must not rely on it as the sole basis for any decision affecting a person.

Updates & support

During an active licence term we provide solution updates and reasonable email support, aiming to respond within one business day (Monday-Friday, excluding Queensland public holidays). Tier 03 - AI Enablement licences receive priority handling. Support covers the Cordex Relationship Map solution as supplied and does not extend to your Microsoft environments, third-party AI providers, custom code, customisations layered on the solution, or unsupported configurations. Updates are delivered as solution upgrades that you import; we recommend importing them into a non-production environment first.

Data handling

Cordex Relationship Map runs inside your Dataverse environment and reads and writes only the records the signed-in user is permitted to access. Stakeholder tags, influence lines, sentiment points, configuration profiles, encrypted AI keys and the licence row are stored in Dataverse tables that ship with the solution, inside your environment. No business data is transmitted to us in the ordinary course of the solution operating. You retain all rights in that data and are responsible for having the necessary rights and consents to collect and process it, and for configuring the solution in line with your legal obligations (including the Privacy Act 1988 (Cth) and the Australian Privacy Principles). Our handling of personal information is described in our Privacy Policy.

Intellectual property

All intellectual property rights in Cordex Relationship Map, including the solution, web resources, PCF control, documentation, updates and branding, are and remain owned by us or our licensors. Except for the limited licence granted to you, no rights are transferred. Configuration profiles you author in Studio, and the stakeholder, influence and sentiment data you create, are your data.

Warranties

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. Subject to those non-excludable rights and to the extent permitted by law, Cordex Relationship Map is provided "as is" and "as available"; we do not warrant that it will be uninterrupted or error-free, compatible with every environment, customisation or Dataverse release, or that AI output will be accurate.

Liability

To the maximum extent permitted by law and subject to non-excludable consumer guarantees, we are not liable for indirect or consequential loss or for loss of profits, revenue, data, goodwill or anticipated savings, nor for any loss arising from AI output or from your enabling of optional data-egress features, and our total aggregate liability in connection with Cordex Relationship Map is limited to the fees you paid for the relevant licence in the twelve (12) months before the event giving rise to the liability. Where permitted, our liability for failing to meet a consumer guarantee is limited to re-supplying or paying the cost of re-supplying the software. Our professional liability is further limited by a scheme approved under Professional Standards Legislation.

Termination

We may suspend or terminate your licence if you materially breach these Relationship Map Terms (including non-payment or exceeding entitlements) and fail to remedy a remediable breach within a reasonable time after notice, or immediately where required to protect our systems or comply with law. On termination you must stop using Cordex Relationship Map and may remove the solution; your data in the solution's tables remains yours and can be exported before removal. Provisions that by their nature survive (intellectual property, restrictions, liability, governing law) continue after termination.

Changes

We may update these Relationship Map Terms from time to time. The current version is posted on this page with a revised "Last updated" date; material changes take effect when posted or on any later date we specify. Continued use after changes take effect constitutes acceptance.

Governing law

These Relationship Map Terms are governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia.
