Please read these Cordex-Atlas Terms & Conditions (Atlas Terms) carefully. By installing, accessing, activating or using Cordex-Atlas, you agree to be bound by these Atlas Terms and our general Terms & Conditions. If there is any inconsistency for matters specific to Cordex-Atlas, these Atlas Terms prevail. Use of the Software is also governed by the Cordex-Atlas End User Licence Agreement and the Cordex-Atlas Privacy & Data-Flow Statement.
Acceptance
These Atlas Terms apply to every edition and deployment of Cordex-Atlas, including the free plan. If you accept them on behalf of an organisation, you warrant that you have authority to bind it, and "you" includes that organisation.
The product
Cordex-Atlas lets authorised users place wounds, devices and stomas on a 3D body, record measurements, photos, tissue, exudate, pain and classification at each visit, and follow healing over time. It can be used as an installed Windows application, in a web browser at atlas.cordexapps.com, as a practice server (file or SQL Server), as separate enterprise server and client installs, or as a control inside Microsoft Dynamics 365 with records stored in Dataverse.
Licence grant
Cordex-Atlas is licensed, not sold. Subject to payment of any applicable fees and compliance with these terms, we grant you a non-exclusive, non-transferable, revocable licence to install and use Cordex-Atlas for your own clinical and business purposes, within the entitlements of your Plan.
Plans & entitlements
Plans are priced per named user, in US dollars (USD). The current plans, prices and inclusions are those published on the Cordex-Atlas pricing section at the time of purchase. In summary:
- Free: 1 user and 1 real patient (an example patient is also included), browser or installed, daily backups, no support.
- Solo: 1 user, unlimited patients, installed on one PC, on-device speech, email support.
- Practice: minimum 3 users, practice server (file or SQL Server), sign-in accounts, priority support.
- Enterprise: minimum 50 users, annual contract only, separate server and client installs, silent deployment, Entra ID sign-in and FHIR integration. Implementation services are quoted separately.
- Dynamics 365: minimum 5 users, the body map control and setup page in the Cordex-Atlas solution. Microsoft Dynamics 365 and Dataverse licences are paid separately to Microsoft.
All plans include every clinical feature. Plans differ in users, patients, deployment and support.
Named users & trial
A named user is an individual person given access to Cordex-Atlas. User licences may not be shared between people, but may be reassigned when a person leaves your organisation. The Practice plan includes a 30-day trial; at the end of a trial, continued use beyond the Free plan requires a paid Subscription.
Purchase & payment
Prices are in USD and exclusive of any applicable taxes unless stated otherwise. Monthly and annual billing are available where shown; paying annually gives approximately two months free compared with monthly. Enterprise plans are invoiced under a written agreement. Payments are processed by our checkout provider, and licences are issued through Key-Warden.
Subscription & renewal
Subscriptions run for the monthly or annual term you choose and renew automatically at the then-current price unless you cancel before the renewal date. If a Subscription lapses, your account reverts to the limits of the Free plan; records beyond those limits remain stored and can be viewed and exported, but cannot be added to until you renew.
Subscriptions, no refunds
All of our software is sold as a subscription. Fees are not refundable, in whole or in part, including for change of mind, unused time, part of a billing period, a lower user count, features you did not use, or cancellation during a term. When you cancel, your subscription continues until the end of the period you have paid for and is not renewed. Trials let you evaluate the software before you buy.
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, including in the case of a major failure.
Licence keys & activation
Licence keys, activations and API keys are issued for your use only. You must keep them secure and must not share, publish or transfer them. We may verify, limit, rotate or revoke keys in line with your Plan and these terms, including where we reasonably suspect misuse.
Use restrictions
You must not, and must not permit anyone to:
- use the Product beyond the entitlements of your Plan, or circumvent licence, seat, user or rate limits;
- copy, modify, reverse engineer, decompile or attempt to derive source code, except to the extent permitted by law;
- resell, rent, sub-license, white-label or make the Product available to third parties, except as expressly agreed in writing;
- use the Product in breach of any law, third-party right or professional obligation; or
- introduce malware, probe or load-test our systems without written permission, or interfere with their integrity or performance.
Clinical use & responsibility
Cordex-Atlas is a clinical documentation and record-keeping tool. It does not diagnose, treat or provide clinical advice, and it does not replace the professional judgement of a qualified clinician. Healing trends, alerts and review reminders are aids only.
You are responsible for how Cordex-Atlas is used in your care setting, including clinical governance, staff training, accuracy of records, and compliance with any professional, regulatory or accreditation requirements that apply to you.
Health records & data
Health information is sensitive information. Where Cordex-Atlas is installed on your devices or servers, or used inside your Dynamics 365 environment, your records are stored in that environment and under your control; in the ordinary course we do not receive or store them. Where you use the browser edition, records are kept in that browser on your device.
- You are responsible for patient consent, including consent for clinical photographs, and for meeting the privacy and health-records laws that apply to you.
- Installed editions encrypt records on the device and run daily backups by default. You are responsible for keeping backups, the computers and servers they run on, and user access secure.
- You are responsible for retention and disposal of records in line with your legal obligations. You can export your records at any time.
How we handle any personal information we do receive is described in our Privacy Policy.
Standards & terminologies
Body sites carry SNOMED CT codes and records can be exchanged as HL7 FHIR R4. SNOMED CT is licensed in Australia through the National Clinical Terminology Service (NCTS), free of charge. Outside Australia, you are responsible for holding any SNOMED CT licence required in your country. Recognised scales such as NPIAP pressure injury stages and ISTAP skin tear types remain the property of their owners.
Updates & support
Paid Plans include updates for the Subscription term and the level of support stated for that Plan (email support for Solo, priority support for Practice, and as agreed for Enterprise). The Free plan includes updates but no support. Support covers Cordex-Atlas as supplied; it does not extend to your computers, networks, SQL Server, Microsoft environment or third-party software.
Intellectual property
All intellectual property rights in the Product, including software, documentation, data structures, branding and updates, are and remain owned by us or our licensors. Except for the limited licence in these terms, no rights are transferred. You retain all rights in your own data.
Warranties
Subject to the Australian Consumer Law and the general Terms, the Product is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free or suitable for every environment or purpose. Nothing in these terms excludes any consumer guarantee that cannot lawfully be excluded.
Liability
The limitation of liability, indemnity and Professional Standards provisions in our general Terms apply. Our total aggregate liability in connection with the Product is limited to the fees you paid us for it in the twelve (12) months before the event giving rise to the claim, to the extent permitted by law.
Termination
You may stop using Cordex-Atlas at any time. We may suspend or terminate your licence if you materially breach these terms and do not remedy the breach within a reasonable time after notice. On termination you must stop using paid features, and you remain able to export your records. Provisions that by their nature should survive continue after termination.
Changes
We may update these terms from time to time. The current version will be posted on this page with a revised "Last updated" date. Changes to prices or entitlements apply from your next renewal unless you agree otherwise. Continued use after changes take effect constitutes acceptance.
Governing law
These terms are governed by the laws of Queensland, Australia, regardless of where you are located or where the Products or Services are used. Each party submits to the exclusive jurisdiction of the courts of Queensland, the federal courts of Australia sitting in Queensland, and the courts that can hear appeals from them. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
