1. Parties and acceptance
This End User Licence Agreement (EULA) is between MYITANDAPPS PTY LTD (ABN 82 659 633 888) of PO Box 7570, Redland Bay QLD 4165, Australia (we, us) and the person or organisation that installs, accesses or uses Cordex AI Gateway (you). By installing, activating, accessing or using the Software, you agree to this EULA. If you accept for an organisation, you confirm you can bind it. If you do not agree, do not install or use the Software.
This EULA works with the Cordex AI Gateway Terms and Conditions (subscription, plans and payment), our general Terms and Conditions and the Cordex AI Gateway Privacy and Data-Flow Statement. If they conflict on licensing or use of the Software, this EULA prevails.
2. Definitions
- Software: the Cordex AI Gateway Microsoft Dataverse solution, its components, templates, documentation and updates, including any copy, part or update we provide.
- Plan: the edition you have licensed, with the entitlements and user band published for it at the time of purchase and recorded in Key-Warden licensing.
- Authorised User: an employee or contractor of yours whom you allow to use the Software for your benefit, within your Plan.
- Customer Data: data you or your Authorised Users enter into, or process with, the Software.
- Connected Service: any AI provider, model, MCP server, API, webhook, flow, workflow, email or messaging service you connect to the Software.
3. Licence grant
The Software is licensed, not sold. Subject to payment of any applicable fees and your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence, for the term of your Plan, to install and use the Software in Microsoft Dataverse environments you control, for your internal business purposes only, by Authorised Users, in line with the documentation. All rights not expressly granted are reserved.
4. Users, limits and verification
Your price band is set by the user count defined for your Plan, as recorded in Key-Warden licensing. You must not exceed your Plan's band or limits. The Software may verify your licence and usage automatically through Key-Warden. On reasonable notice, and not more than once in any 12 months, you will give us records reasonably needed to confirm compliance. If you have exceeded your entitlements, you will pay for the excess at our then-current prices from the date it began.
5. Restrictions
Except as expressly permitted by this EULA or by a law that cannot be excluded, you must not, and must not allow anyone else to:
- copy, modify, adapt or create derivative works of the Software, except configuration through its own settings and the rules, gates or settings you build with it;
- decompile, disassemble, reverse engineer or try to derive source code, algorithms or licence mechanisms;
- remove, disable, bypass or tamper with any licence check, key, technical protection measure or proprietary notice;
- sell, resell, sublicense, rent, lend, distribute, host or make the Software available to third parties, or use it to provide a managed or software-as-a-service offering, unless we agree in writing;
- use the Software to build a competing product, or benchmark it for publication without our written consent;
- use the Software unlawfully, to infringe anyone's rights, or to store or send malicious code.
6. Copyright, ownership and trade marks
The Software, templates, documentation, designs, interfaces, code and all updates are © 2021–2026 MYITANDAPPS PTY LTD. All rights reserved. They are protected by the Copyright Act 1968 (Cth) and international law. We and our licensors keep all right, title and interest in them. Rules, gates and configurations you create, and your Customer Data, are yours.
"Cordex", "Cordex AI Gateway", "Key-Warden", "My IT and Apps" and the associated logos are our trade marks. This EULA gives you no right to use them except to identify the Software truthfully. If you give us feedback, you grant us a perpetual, royalty-free, worldwide right to use it.
7. Confidentiality
The Software's non-public code, structure, licence mechanisms, pricing offered to you and non-public documentation are our confidential information. Keep them confidential, use them only to exercise your licence, and protect them with reasonable care. This does not apply to information that is public through no fault of yours or that the law requires you to disclose.
8. Gates, approvals and the audit log
Gates, approvals and policies act only as you configure them. You are responsible for setting them up, keeping them current and reviewing their effect. The audit log is append-only and hash-chained to help you detect changes or gaps in the record. It supports your own governance and evidence; it is not a certification and does not guarantee compliance with any law or standard. You remain responsible for your own reviews, retention and reporting.
9. AI providers and connected services
- You bring your own AI providers. Requests the gateway allows are sent to the provider you configure, under your own account and key. Your use of that provider is governed by your agreement with it, and you pay it directly. We are not a party to that agreement and are not responsible for the provider's service, output, security, data handling or charges.
- You decide which providers, users and features may be used, and what data may be sent, through the gates and approvals you configure.
- AI output can be wrong, incomplete or biased. It is advisory only. You must review it before relying on it, and must not use it as the only basis for any decision about a person.
10. Customer data
The Software reads and writes data in your own Dataverse environment. You own your Customer Data. We do not receive it through the Software except as described in the Cordex AI Gateway Privacy and Data-Flow Statement. You are responsible for your Customer Data, for having a lawful basis and any consents needed, and for complying with the Privacy Act 1988 (Cth) and other laws that apply to you.
We may collect technical information such as licence status, version and user counts to license, secure and improve the Software. Where it identifies a person, we handle it under our Privacy Policy.
11. Support and updates
Support and updates are provided as described in the Cordex AI Gateway Terms. Updates may add, change or remove features, and may be needed to keep the Software working with Microsoft platforms. We are not responsible for problems caused by versions we no longer support, by changes you or third parties make, or by your environment.
12. No warranty and Australian Consumer Law
We give no warranty of our own for the Software. It is provided on a subscription basis, "as is" and "as available", and no refund is offered for any reason other than as required by law.
To the maximum extent permitted by law, we exclude all warranties, conditions and guarantees, including fitness for purpose, accuracy, uninterrupted or error-free operation, and non-infringement. Trials are provided as is, without any warranty.
Nothing in this EULA excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or other law that cannot be excluded. Where the law allows us to limit our liability for breach of such a guarantee, it is limited, at our option, to supplying the Software again or paying the cost of having it supplied again.
13. Limitation of liability
To the maximum extent permitted by law:
- Excluded loss. We are not liable for any loss of profit, revenue, business, goodwill, opportunity or anticipated savings; loss, corruption or unavailability of data; business interruption; or any indirect, incidental, special or consequential loss, however caused (including negligence).
- Cap. Our total liability arising out of or in connection with the Software and this EULA is limited to the fees you paid us for the Software in the 12 months before the event giving rise to the claim, or AUD 100 during a trial.
- Your configuration. We are not liable for loss caused by rules, gates, approvals, prompts, schedules or other configurations you or your Authorised Users design, approve or publish, by AI output, or by the acts, omissions, output, availability or charges of any Connected Service.
- Your responsibility. We are not liable for loss caused by your data, your environment, your failure to keep backups, test changes or follow the documentation, or your decisions based on the Software's output.
- Contribution. Our liability is reduced to the extent you or your Authorised Users caused or contributed to the loss.
These limits do not apply to liability that cannot be limited by law. Our liability is also limited by a scheme approved under Professional Standards Legislation.
14. Indemnity
You indemnify us, our officers, employees and contractors against all claims, losses, damages, costs (including reasonable legal costs) and liabilities arising from: your Customer Data; the rules, gates and configurations you build or publish; data you send to any Connected Service; your or your Authorised Users' use of the Software in breach of this EULA or the law; or any claim that your Customer Data infringes someone's rights or breaches privacy law.
15. Term, suspension and termination
- This EULA runs for the term of your Plan, including renewals, unless ended under this clause.
- We may suspend or end your licence immediately by notice if you breach the Restrictions, Copyright or Confidentiality clauses, fail to pay, or become insolvent. Either party may end this EULA if the other materially breaches it and does not fix the breach within 30 days of written notice.
- On termination your licence ends. You must stop using the Software, uninstall it and destroy all copies and licence keys. Uninstalling the managed solution deletes its tables and settings. Export anything you need first. Your own business records are not deleted.
- Clauses that by their nature are meant to continue, including Restrictions, Copyright, Confidentiality, AI providers and connected services, Customer data, No warranty, Limitation of liability, Indemnity, Equitable relief and Governing law, survive termination.
16. Equitable relief
A breach of the Restrictions, Copyright or Confidentiality clauses may cause us harm that damages cannot adequately remedy. We may seek an injunction or other equitable relief, in addition to any other remedy.
17. Export and sanctions
You must comply with all export control and sanctions laws that apply to your use of the Software, and must not use or allow use of it in, or by anyone in, a sanctioned country or on a sanctions list.
18. Governing law
This EULA is governed by the laws of Queensland, Australia. Each party submits to the exclusive jurisdiction of the courts of Queensland, the federal courts of Australia sitting in Queensland, and the courts that can hear appeals from them. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. General
This EULA, with the documents referred to in clause 1 and your order, is the whole agreement on its subject. We may update this EULA for future versions or renewals by publishing a new version; the version in force when you accept or renew applies. You may not assign this EULA without our written consent; we may assign it to a successor of our business. If a provision is unenforceable, it is read down or severed and the rest continues. A failure to enforce a right is not a waiver.
