Cordex AI Gateway Terms and Conditions

These terms cover how you buy, licence and use Cordex AI Gateway, the governed AI gateway for Dataverse and Dynamics 365.

Last updated 15 October 2026 · Effective 15 October 2026 · Version 1.0

1. Acceptance

These Cordex AI Gateway Terms and Conditions (Gateway Terms) form a binding agreement between you and My IT and Apps Pty Ltd (ABN 82 659 633 888). By buying, importing, activating or using Cordex AI Gateway you agree to these Gateway Terms, the Cordex AI Gateway EULA, the Privacy and Data-Flow Statement and our general Terms and Conditions. Where they differ on matters specific to Cordex AI Gateway, these Gateway Terms prevail, except that the EULA prevails on licensing and use. If you accept for an organisation, you confirm you can bind it.

2. The product

Cordex AI Gateway is an extension for Microsoft Dataverse and Dynamics 365 Customer Engagement, delivered as a Dataverse solution. It places one Custom API in front of the AI providers you bring, applies the gates and approvals you configure, and writes each call to an audit log in your environment. It requires Key-Warden Licensing (Base Kit) in the same environment.

3. Plan and entitlements

Cordex AI Gateway is offered on one plan, plan code cordex-aig-std. The features and prices that apply are those shown on the product page or at checkout when you buy. Features not in the release you install are not part of your entitlement until released.

4. Licensed users and price

Price is a flat monthly amount in USD, per organisation, set by the band your licensed-user count falls into. Licensed users are the holders of the Cordex AI Gateway security roles in Dataverse. Above 1,000 licensed users, pricing is agreed with you. No annual pricing is offered. AI provider usage is not included: you pay your providers directly.

5. Purchase and billing

Licences are bought through Key-Warden checkout or by invoice. Unless stated otherwise, prices exclude GST and other applicable taxes, which are added where the law requires. Your order is accepted when your licence code is issued. Billing is monthly and renews each month until cancelled. Cancellation takes effect at the end of the current month. Any trial is offered on the terms shown when it is offered.

6. Subscriptions, no refunds

All of our software is sold as a subscription. Fees are not refundable, in whole or in part, including for change of mind, unused time, part of a billing period, a lower user count, features you did not use, or cancellation during a term. When you cancel, your subscription continues until the end of the period you have paid for and is not renewed. Trials let you evaluate the software before you buy.

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, including in the case of a major failure.

7. Licence codes and activation

Your licence code is confidential and issued for your organisation. Do not share, publish or alter a licence code or grant; doing so may lead to revocation. If a licence lapses, the gateway stops serving requests until a current licence is activated. Your configuration and audit log stay in your environment.

8. Your AI providers

You choose, contract with and pay your own AI providers. You are responsible for their terms, charges, data handling and suitability. We do not operate, proxy or resell any provider, and we make no claim about any provider's integration, output or availability.

9. Gates, approvals and audit

Gates and approvals act only as you configure them. The audit log is designed to support your governance and evidence. It is not a certification and does not guarantee compliance with any law or standard. You remain responsible for your own policies, reviews, retention and reporting.

10. Use restrictions

  • Do not copy, modify, reverse engineer or decompile the solution, except where the law allows.
  • Do not remove or change proprietary notices, branding or licensing mechanisms, or get around licence limits or security controls.
  • Do not use Cordex AI Gateway to send data you are not entitled to send, or in breach of any law or provider's terms.
  • Do not resell, host or provide Cordex AI Gateway to third parties except under a separate written partner agreement with us.

11. Updates and support

While your licence is current we provide solution updates and email support, aiming to reply within one business day (Monday to Friday, excluding Queensland public holidays). Support covers Cordex AI Gateway as supplied, not your Microsoft environment, your AI providers or custom code. Test updates in a non-production environment first.

12. Warranties and liability

Warranties, liability limits and indemnities are set out in the Cordex AI Gateway EULA and our general Terms and Conditions. Our liability is limited by a scheme approved under Professional Standards Legislation.

13. Termination

We may suspend or end your licence if you materially breach these Gateway Terms and do not fix a fixable breach within a reasonable time after notice. On termination you must stop using Cordex AI Gateway. Your data and audit log stay in your environment and can be exported before you remove the solution.

14. Changes

We may update these Gateway Terms. The current version is posted here with a new "Last updated" date. Continued use after a change takes effect means you accept it.

15. Governing law

These Gateway Terms are governed by the laws of Queensland, Australia. Each party submits to the exclusive jurisdiction of the courts of Queensland and the federal courts of Australia sitting in Queensland.
