Cordex-Insights End User Licence Agreement

This agreement sets out the licence to install and use Cordex-Insights, our copyright and ownership of the Software, what you may and may not do with it, and the limits on our liability. It applies in addition to the Cordex-Insights Terms & Conditions and our general Terms & Conditions.

Last updated  6 October 2026 Effective  1 June 2026 Version  1.0.0

Please read this Cordex-Insights End User Licence Agreement carefully. By installing, activating, accessing or using Cordex-Insights, you agree to it. It limits our liability and your rights to copy, modify and redistribute the Software.

Parties & acceptance

This End User Licence Agreement (EULA) is between MYITANDAPPS PTY LTD (ABN 82 659 633 888) of PO Box 7570, Redland Bay QLD 4165, Australia (we, us, Licensor) and the person or organisation that installs, accesses or uses Cordex-Insights (you, Customer). By installing, activating, accessing or using the Software, or by clicking to accept, you agree to this EULA. If you accept for an organisation, you warrant that you have authority to bind it. If you do not agree, do not install or use the Software.

This EULA works together with the Cordex-Insights Terms & Conditions (subscription, plans and payment), our general Terms & Conditions and the Cordex-Insights Privacy & Data-Flow Statement. If they conflict on licensing or use of the Software, this EULA prevails.

Definitions

  • Software: the Cordex-Insights Microsoft Dataverse solution (Grid and Search, Charts and BI, and Cordex AI plans), its controls, documentation and updates, including any copy, part, modification or update we provide.
  • Plan: the edition or tier you have licensed, with the entitlements, seats and limits published for it at the time of purchase and recorded in Key-Warden licensing.
  • Authorised User: an employee or contractor of yours whom you allow to use the Software for your benefit, within your Plan’s seats.
  • Documentation: our user guides, help pages, release notes and technical material for the Software.
  • Customer Data: data you or your Authorised Users enter into, or process with, the Software.

Licence grant

The Software is licensed, not sold. Subject to your payment of any applicable fees and your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence, for the term of your Plan, to install and use the Software in Microsoft Dataverse environments you control, for your internal business purposes only, by Authorised Users, in accordance with the Documentation.

All rights not expressly granted are reserved by us.

Seats, limits & verification

The seat count is the number of people licensed to use the Software under your Plan, as recorded in Key-Warden licensing. You may install it in 1 production environment and any number of non-production (development, test and training) environments.

You must not exceed your Plan’s seats or limits. The Software may verify your licence and usage automatically through Key-Warden. On reasonable notice, and not more than once in any 12 months, you will give us records reasonably needed to confirm compliance. If you have exceeded your entitlements, you will pay for the excess at our then-current prices from the date it began, without affecting our other rights.

Restrictions

Except as expressly permitted by this EULA or by a law that cannot be excluded, you must not, and must not allow anyone else to:

  1. copy, modify, translate, adapt or create derivative works of the Software, except configuration through its own settings;
  2. decompile, disassemble, reverse engineer, de-obfuscate or try to derive source code, algorithms, data structures or licence mechanisms;
  3. remove, disable, bypass or tamper with any licence check, key, technical protection measure, copyright notice or proprietary marking;
  4. sell, resell, sublicense, rent, lease, lend, distribute, host or make the Software available to third parties, or use it to provide a bureau, managed or software-as-a-service offering, unless we agree in writing;
  5. use the Software to build a competing product, or benchmark it for publication without our written consent;
  6. use the Software unlawfully, to infringe anyone’s rights, or to store or send malicious code;
  7. exceed your Plan’s seats, limits or features.

Confidentiality

The Software’s non-public code, structure, licence mechanisms, pricing offered to you and non-public Documentation are our confidential information. You must keep them confidential, use them only to exercise your licence, and protect them with at least reasonable care. This does not apply to information that is public through no fault of yours or that you must disclose by law (after telling us, where lawful).

Third-party components

Third-party components used in the Software (such as typefaces, libraries and other open-source or licensed material) are attributed in the Software or its Documentation and are licensed under their respective licences and agreements. Those licences govern those components, and nothing in this EULA limits any right you have under them. Everything else in the Software is ours and is licensed to you only under this EULA.

Cordex AI & AI providers

  1. Cordex AI is optional and off until one of your administrators turns it on.
  2. When on, it sends the column names, filters and data needed to answer the request to the AI provider you configure, using your own account and key. You use your own provider account and key, and your use of that provider is governed by your agreement with it. We are not a party to that agreement and are not responsible for the provider’s service, availability, security or charges.
  3. With a direct provider, Authorised Users who can use Cordex AI can technically read the provider key. You accept this, or use an in-tenant option such as your own Power Automate flow where available.
  4. AI output, including charts, summaries, explanations and suggestions, can be wrong, incomplete or biased. It is advisory only. You must review it and must not rely on it as the only basis for any decision about a person, a customer or your business.

Customer data

Cordex-Insights reads and writes data in your own Dataverse environment. Charts, grids and boards are calculated there. You own your Customer Data. We do not receive Customer Data through the Software except as described in the Cordex-Insights Privacy & Data-Flow Statement.

You are responsible for your Customer Data, for having a lawful basis and any required consents to collect and use it, and for complying with the Privacy Act 1988 (Cth) and other laws that apply to you.

We may collect technical and usage information (such as licence status, version and feature use) to provide, secure, license and improve the Software. Where it identifies a person, we handle it under our Privacy Policy.

Support & updates

Support and updates are provided as described for your Plan on the product page and in the Cordex-Insights Terms. Free plans may include no support. Updates may add, change or remove features, and may be required to keep the Software working with third-party platforms. We are not responsible for problems caused by versions we no longer support, by changes you or third parties make, or by your environment.

No warranty & Australian Consumer Law

We give no warranty of our own for the Software. It is provided on a subscription basis, "as is" and "as available", and no refund is offered for any reason other than as required by law.

To the maximum extent permitted by law, we exclude all warranties, conditions and guarantees, express or implied, including fitness for purpose, merchantability, accuracy, uninterrupted or error-free operation, and non-infringement. Free plans and trials are provided as is, without any warranty.

Nothing in this EULA excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or other law that cannot be excluded. Where the law allows us to limit our liability for breach of such a guarantee, our liability is limited, at our option, to supplying the Software again or paying the cost of having it supplied again.

Limitation of liability

To the maximum extent permitted by law:

  1. Excluded loss. We are not liable to you or anyone else for any loss of profit, revenue, business, goodwill, opportunity or anticipated savings; loss, corruption or unavailability of data; business interruption; or any indirect, incidental, special, consequential, exemplary or punitive loss, however caused (including negligence), even if we were told it was possible.
  2. Cap. Our total aggregate liability arising out of or in connection with the Software and this EULA, whether in contract, tort (including negligence), statute or otherwise, is limited to the fees you paid us for the affected Software in the 12 months before the event giving rise to the claim, or AUD 100 if you are on a free plan or trial.
  3. Your responsibility. We are not liable for loss caused by your data, your environment, your third-party providers, your failure to keep backups or follow the Documentation, or your decisions based on the Software’s output.
  4. Contribution. Our liability is reduced to the extent you or your Authorised Users caused or contributed to the loss.

These limits do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by our negligence or for fraud. Our liability is also limited by a scheme approved under Professional Standards Legislation.

Indemnity

You indemnify us, our officers, employees and contractors against all claims, losses, damages, costs (including reasonable legal costs) and liabilities arising from: your Customer Data; your or your Authorised Users’ use of the Software in breach of this EULA or the law; your third-party providers; or any claim that your Customer Data infringes someone’s rights or breaches privacy law.

Term, suspension & termination

  1. This EULA runs for the term of your Plan, including renewals, unless ended under this clause.
  2. We may suspend or end your licence immediately by notice if you breach clause 5 (Restrictions), 6 (Copyright) or 7 (Confidentiality), fail to pay, or become insolvent. Either party may end this EULA if the other materially breaches it and does not fix the breach within 30 days of written notice.
  3. On termination your licence ends. You must stop using the Software, uninstall it, and destroy all copies and licence keys. Uninstalling the managed solution deletes its tables, saved charts and settings. Your own business records are not deleted. Export any saved charts and layouts you need first.
  4. The clauses headed Restrictions; Copyright, ownership & trade marks; Confidentiality; Third-party components (or content & licences); Cordex AI & AI providers (where included); Customer data; No warranty & Australian Consumer Law; Limitation of liability; Indemnity; Equitable relief; Governing law; General; and any other clause that by its nature is intended to continue, survive termination or expiry of this EULA.

Equitable relief

A breach of clauses 5, 6 or 7 may cause us harm that damages cannot adequately remedy. We may seek an injunction or other equitable relief, in addition to any other remedy, without proving actual damage.

Export & sanctions

You must comply with all export control and sanctions laws that apply to your use of the Software, and must not use or allow use of the Software in, or by anyone in, a sanctioned country or on a sanctions list.

Governing law

This EULA is governed by the laws of Queensland, Australia, regardless of where you are located or where the Software is used. Each party submits to the exclusive jurisdiction of the courts of Queensland, the federal courts of Australia sitting in Queensland, and the courts that can hear appeals from them. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

General

This EULA, with the documents referred to in clause 1 and your order, is the whole agreement on its subject. We may update this EULA for future versions or renewals by publishing a new version; the version in force when you accept or renew applies. You may not assign or transfer this EULA without our written consent; we may assign it to a successor of our business. If a provision is unenforceable, it is read down or severed and the rest continues. A failure to enforce a right is not a waiver. Neither party is liable for delay caused by events beyond its reasonable control.
