Cordex-Insights Terms & Conditions

Acceptance

These Insights Terms form a binding agreement between you and My IT and Apps (ABN 82 659 633 888). If you are purchasing on behalf of an organisation, you warrant you have authority to bind it, and "you" includes that organisation.

The product

Cordex-Insights is a software product delivered as a Microsoft Dataverse solution (a PCF grid control, a plug-in, a Custom API, a model-driven app, security roles and custom tables) that adds a full-data-set grid, charts, dashboards and Cordex AI to Dynamics 365 CE and Power Apps model-driven apps. It runs inside your Dataverse environment as the signed-in user and requires Key-Warden Licensing (Base Kit) in the same environment.

Licence grant

Cordex-Insights is licensed, not sold. Subject to payment of the applicable fees and ongoing compliance with these Insights Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to import and use Cordex-Insights in Dataverse environments owned or controlled by you, for your own internal business purposes, within the tier and seat band you have purchased.

Plans & entitlements

Cordex-Insights is one product offered in three plans. Each plan includes everything in the one before it. The exact features and prices are those published at checkout at the time of purchase or on your quote.

Features marked reserved in the product documentation (voice, what-if and duplicate review) are not yet built and are not part of any entitlement until released.

Seats & trial

Cordex-Insights is priced monthly in USD by user band, as published on the product page or your quote. Above 1,000 users, pricing is agreed with you. One licence covers your organisation on one plan; plans cannot be mixed. A seat is an enabled, Read-Write, non-application user holding the Cordex-Insights User or Cordex-Insights Administrator role, directly or through an owner team. The Exporter, Dashboard Creator and AI Self-Serve roles do not take a seat.

A 14-day trial is offered for evaluation in your own environment, may be limited to one trial per organisation, and expires automatically. Nothing configured during a trial is lost when a paid licence is activated.

Purchase & checkout

Cordex-Insights licences are purchased through our secure checkout provider or by invoice. Prices are shown at checkout or on your quote; local currency may be displayed for convenience, with conversion handled by the checkout provider. Unless stated to be inclusive, prices are exclusive of GST and applicable taxes, which are added where required by law. Your order is accepted when we issue your licence key or confirmation.

Subscription & renewal

Each licence includes a term (typically 12 months) of updates and support. Unless you cancel before the renewal date, or unless stated otherwise at checkout or on your quote, licences renew for successive terms at the then-current price for your seat band, and you authorise us or our checkout provider to charge the renewal fee. You can disable automatic renewal at any time by contacting us or via your account. If a licence lapses, updates and support cease and the map reverts to its activation notice until a current licence is activated.

Subscriptions, no refunds

All of our software is sold as a subscription. Fees are not refundable, in whole or in part, including for change of mind, unused time, part of a billing period, a lower user count, features you did not use, or cancellation during a term. When you cancel, your subscription continues until the end of the period you have paid for and is not renewed. Trials let you evaluate the software before you buy.

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, including in the case of a major failure.

Licence codes & activation

Your licence code is confidential and issued for your organisation's use within your entitlements. It is activated in Cordex-Insights Admin through Key-Warden Licences. Licence grants are Ed25519-signed and verified against the managed Key-Warden trust anchor. Do not share, publish or attempt to alter a licence code or grant; doing so may result in revocation.

Use restrictions

• Do not copy, modify, reverse engineer, decompile or attempt to extract source code from the web resources, PCF control or solution components, except to the extent permitted by law.
• Do not remove or alter any proprietary notices, branding or licensing mechanisms.
• Do not circumvent licence limits, seat enforcement, access gates or security controls, or share licence codes.
• Do not use Cordex-Insights, or Cordex AI, to process data you are not entitled to process, to profile or measure individuals in breach of any law, workplace agreement or third-party right, or in breach of your AI provider's terms.
• Do not resell, rent, lease, sublicense, host, bundle or otherwise provide Cordex-Insights, or access to it, to or for any third party except under a separate written OEM/Reseller/Partner agreement with us.

Resale, OEM & redistribution

The Grid and Search, Charts and BI and Cordex AI plans licence Cordex-Insights for the licensee's own use: that is, in Dataverse environments owned and operated by you and your affiliated entities under common control, to work your own organisation's data.

Regardless of your plan or seat count, you must not, without a separate written agreement with us:

• import, activate or operate Cordex-Insights in a third-party customer's or client's environment as a deliverable;
• host, offer or make Cordex-Insights available to third parties as part of a product, platform, portal or managed service;
• rebrand or distribute Cordex-Insights under your own or a client's brand; or
• redistribute, sublicense, resell, rent or lease Cordex-Insights, its solution files or its licence codes.

Partners building solutions for clients, consultancies delivering to customers and ISVs embedding Cordex-Insights require a Cordex-Insights OEM / Reseller / Partner agreement, which we price per end-customer, per-tenant or by revenue share. Contact cordex-insights@myitandapps.com.au to arrange one. Activations may be registered and audited to enforce this clause.

Requirements & third parties

Cordex-Insights requires Key-Warden Licensing (Base Kit), a free download from Microsoft Marketplace, installed in the same environment. Cordex-Insights requires a supported Microsoft Dataverse environment and valid Microsoft licensing for the users who access it (Dataverse, Dynamics 365 and, where relevant, Power Platform, Power Automate and Azure). Users must hold the Cordex-Insights security roles and their own Dataverse privileges; the map never shows a record, or performs an action, that the signed-in user could not perform natively. You are responsible for obtaining and maintaining those third-party products, subscriptions and configurations, and your use of them is governed by their own terms. We are not responsible for changes, deprecation, downtime or acts or omissions of Microsoft, AI providers or your own environments.

Cordex AI & AI providers

Cordex AI (Cordex AI plan) sends information to an AI provider only when a user asks a question or asks it to build a tile, and only under a provider account and key that you configure. It sends the question, your organisation context, table and column names and the results of the data tools it runs. Data exploration can be turned off, in which case the plug-in refuses data tools. Your use of any AI provider is governed by that provider's own terms, and AI usage is billed by the provider to you.

AI output can be wrong. You are responsible for reviewing answers and proposed tiles before relying on or publishing them.

Updates & support

During an active licence term we provide solution updates and reasonable email support, aiming to respond within one business day (Monday-Friday, excluding Queensland public holidays). the applicable plan. Support covers the Cordex-Insights solution as supplied and does not extend to your Microsoft environments, third-party AI providers, custom code, customisations layered on the solution, or unsupported configurations. Updates are delivered as solution upgrades that you import; we recommend importing them into a non-production environment first.

Data handling

Cordex-Insights runs inside your Dataverse environment and reads and writes only the records the signed-in user is permitted to access. Layouts, chart sets, dashboards and AI settings are stored in Dataverse tables that ship with the solution. AI keys, flow URLs and Azure Maps keys are write-only and are readable only by the plug-in (and, for own keys, their owner). We do not receive your record data. Where a user uses Find coordinates, the selected addresses are sent to Azure Maps under your key.

Intellectual property

All intellectual property rights in Cordex-Insights, including the solution, web resources, PCF control, documentation, updates and branding, are and remain owned by us or our licensors. Except for the limited licence granted to you, no rights are transferred. Configuration profiles you author in Studio, and the stakeholder, influence and sentiment data you create, are your data.

Warranties

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. Subject to those non-excludable rights and to the extent permitted by law, Cordex-Insights is provided "as is" and "as available"; we do not warrant that it will be uninterrupted or error-free, compatible with every environment, customisation or Dataverse release, or that AI output will be accurate.

Liability

To the maximum extent permitted by law and subject to non-excludable consumer guarantees, we are not liable for indirect or consequential loss or for loss of profits, revenue, data, goodwill or anticipated savings, nor for any loss arising from AI output or from your enabling of optional data-egress features, and our total aggregate liability in connection with Cordex-Insights is limited to the fees you paid for the relevant licence in the twelve (12) months before the event giving rise to the liability. Where permitted, our liability for failing to meet a consumer guarantee is limited to re-supplying or paying the cost of re-supplying the software. Our professional liability is further limited by a scheme approved under Professional Standards Legislation.

Termination

We may suspend or terminate your licence if you materially breach these Insights Terms (including non-payment or exceeding entitlements) and fail to remedy a remediable breach within a reasonable time after notice, or immediately where required to protect our systems or comply with law. On termination you must stop using Cordex-Insights and may remove the solution; your data in the solution's tables remains yours and can be exported before removal. Provisions that by their nature survive (intellectual property, restrictions, liability, governing law) continue after termination.

Changes

We may update these Insights Terms from time to time. The current version is posted on this page with a revised "Last updated" date; material changes take effect when posted or on any later date we specify. Continued use after changes take effect constitutes acceptance.

Governing law

These Insights Terms are governed by the laws of Queensland, Australia, regardless of where you are located or where the Products or Services are used. Each party submits to the exclusive jurisdiction of the courts of Queensland, the federal courts of Australia sitting in Queensland, and the courts that can hear appeals from them. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
