Cordex-Rules Terms and Conditions

These terms cover how you buy, licence and use Cordex-Rules, the rule engine for Dataverse and Dynamics 365: editions, monthly billing, the free trial, support, data and acceptable use.

Last updated 15 October 2026 · Effective 15 October 2026 · Version 1.0

1. Acceptance

These Cordex-Rules Terms and Conditions (Rules Terms) form a binding agreement between you and My IT and Apps Pty Ltd (ABN 82 659 633 888). By buying, importing, activating or using Cordex-Rules you agree to these Rules Terms our general Terms and Conditions, the Cordex-Rules EULA and the Cordex-Rules Privacy and Data-Flow Statement. Where they differ on matters specific to Cordex-Rules, these Rules Terms prevail, except that the EULA prevails on licensing and use. If you accept on behalf of an organisation, you confirm you can bind it, and "you" includes that organisation.

2. The product

Cordex-Rules is a rule engine delivered as a Microsoft Dataverse solution for Dynamics 365 Customer Engagement and Power Apps model-driven apps. It runs inside your Dataverse environment, as the signed-in user, and requires Key-Warden Licensing (Base Kit) in the same environment.

3. Licence grant

Cordex-Rules is licensed, not sold. Subject to payment and these Rules Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to import and use Cordex-Rules in Dataverse environments you own or control, for your own internal business purposes, within the edition and active-user band you have bought.

4. Editions

Cordex-Rules has two editions. AI includes everything in Core. The features and prices that apply are those shown at checkout or on your quote.

  • Core (plan code cordex-cr-core): the full rule engine, including the designer, templates, sync, async, scheduled and on-demand rules, Power Platform and people steps, validators, live forms, version history and audit.
  • AI (plan code cordex-cr-ai): everything in Core, plus Cordex AI, bring-your-own AI provider and.

5. Active users and trial

Cordex-Rules is priced monthly in USD by active-user band. Active users are enabled, licensed people in the environment plus your organisation's own non-Microsoft application users; Microsoft system and platform application users are excluded. A user counts once. Above 1,000 active users, pricing is agreed with you.

There are no charges per run, step, action, API call or record. A free 30-day trial is offered on both editions, may be limited to one per organisation, and ends automatically. Rules built during a trial are kept when a paid licence is activated.

6. Purchase and billing

Licences are bought through Key-Warden checkout or by invoice. Unless stated otherwise, prices exclude GST and other applicable taxes, which are added where the law requires. Your order is accepted when your licence code is issued. Billing is monthly and renews each month until cancelled. You can cancel at any time; cancellation takes effect at the end of the current month.

7. Subscriptions, no refunds

All of our software is sold as a subscription. Fees are not refundable, in whole or in part, including for change of mind, unused time, part of a billing period, a lower user count, features you did not use, or cancellation during a term. When you cancel, your subscription continues until the end of the period you have paid for and is not renewed. Trials let you evaluate the software before you buy.

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, including in the case of a major failure.

8. Licence codes and activation

Your licence code is confidential and issued for your organisation. It is activated in the Cordex-Rules app under Admin > Licence through Key-Warden Licences. Do not share, publish or alter a licence code or grant; doing so may lead to revocation. If a licence lapses, rules stop running until a current licence is activated; your rules, versions and audit history stay in your environment.

9. Use restrictions

  • Do not copy, modify, reverse engineer or decompile the solution or its components, except where the law allows.
  • Do not remove or change proprietary notices, branding or licensing mechanisms.
  • Do not get around licence limits, user counts or security controls.
  • Do not use Cordex-Rules or Cordex AI to process data you are not entitled to process, or in breach of any law or your AI provider's terms.
  • Do not resell, rent, host or provide Cordex-Rules to third parties except under a separate written partner agreement with us.

10. Partners and redistribution

The Core and AI editions licence Cordex-Rules for your own organisation's use. Without a separate written agreement, you must not operate Cordex-Rules in a client's environment as a deliverable, offer it as part of a managed service, rebrand it, or redistribute its solution files or licence codes. Partners and ISVs can contact cordex-rules@myitandapps.com.au for a partner agreement.

11. Requirements and third parties

Cordex-Rules needs a supported Dataverse environment, valid Microsoft licences for its users, and Key-Warden Licensing (Base Kit), a free Microsoft Marketplace offer. Rules run as the signed-in user and can never do more than that user could do. Flows, workflows, APIs and AI providers you connect are governed by their own terms. We are not responsible for changes, outages or acts of Microsoft, AI providers or other third parties.

12. Cordex AI and AI providers

In the AI edition, Cordex AI sends a request to an AI provider only when a user asks it to draft or explain a rule, and only under a provider account and key you configure. Keys are stored encrypted and never reach a browser. Your use of the provider is governed by its terms and billed by it to you. AI output can be wrong: review every drafted rule before you publish it.

13. Updates and support

While your licence is current we provide solution updates and email support, aiming to reply within one business day (Monday to Friday, excluding Queensland public holidays). Support covers Cordex-Rules as supplied, not your Microsoft environment, third-party services or custom code. Updates are solution upgrades you import; test them in a non-production environment first. See Cordex-Rules support.

14. Data handling

Cordex-Rules runs inside your Dataverse environment and reads and writes only records the signed-in user can access. Rules, versions, run history and settings are stored in Dataverse tables that ship with the solution. API, webhook and AI credentials are stored encrypted. We do not receive your record data. See our Privacy Policy.

15. Intellectual property

All rights in Cordex-Rules, including the solution, templates, documentation, updates and branding, stay with us or our licensors. Rules you build, and your data, are yours.

16. Warranties

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. Subject to those rights and to the extent the law allows, Cordex-Rules is provided "as is"; we do not warrant that it will be uninterrupted, error-free or compatible with every environment, or that AI output will be accurate.

17. Liability

To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, or for loss caused by rules you design or AI output you publish. Our total liability is limited to the fees you paid for Cordex-Rules in the twelve months before the event. Our liability is limited by a scheme approved under Professional Standards Legislation.

18. Termination

We may suspend or end your licence if you materially breach these Rules Terms and do not fix a fixable breach within a reasonable time after notice. On termination you must stop using Cordex-Rules. Your rules and data stay in your environment and can be exported before you remove the solution.

19. Changes

We may update these Rules Terms. The current version is posted here with a new "Last updated" date. Continued use after a change takes effect means you accept it.

20. Governing law

These Rules Terms are governed by the laws of Queensland, Australia. Each party submits to the exclusive jurisdiction of the courts of Queensland and the federal courts of Australia sitting in Queensland. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
